Acceptance of Terms
By creating a researcher account, submitting an application, or placing an order with Empire Biosciences New York Inc. ("we," "us," or "the Company"), you agree to be bound by these Terms of Service.
Researcher Eligibility
These materials are supplied exclusively to buyers who are 21 years of age or older, who have submitted a truthful application describing their identity, organization or affiliation, and intended research use, and whose application has been individually reviewed and approved by an administrator of Empire Biosciences New York Inc.. Submitting an application does not, by itself, grant access to the catalog. We may deny or revoke access at our discretion, including after a prior approval, if we determine an account no longer meets these criteria.
Not for Human or Veterinary Use
Every product offered by Empire Biosciences New York Inc. is a laboratory reference material supplied for research use only. Nothing offered on this site is intended for human or veterinary consumption, application, or use, and no product may be resold, repackaged, or represented as suitable for such use.
No Resale
Products purchased through this site are for the buyer's own research use. You agree not to resell, redistribute, or transfer any product to a third party, and not to represent yourself as an authorized distributor or reseller of Empire Biosciences New York Inc..
Title and Risk of Loss
Title to ordered products and risk of loss pass to the buyer upon delivery of the shipment to the carrier. Empire Biosciences New York Inc. is not responsible for loss, theft, or damage occurring after that point, though we will assist with a carrier claim where one is available. See our Shipping Policy for carrier and delivery details.
Lawful Use
You are solely responsible for determining whether purchase, possession, and use of any product is lawful in your jurisdiction, including your country, state or province, and institution, and for obtaining any permit, license, or institutional approval your jurisdiction requires before you order.
Limitation of Liability
To the fullest extent permitted by law, Empire Biosciences New York Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your purchase or use of any product, and our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim.
Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
Exclusive Venue
Subject to the arbitration agreement below, the state and federal courts located in Nassau County, New York have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to personal jurisdiction there.
Binding Arbitration
Any dispute arising out of or relating to these Terms or your purchase will be resolved by binding, individual arbitration rather than in court, except that either party may bring an individual claim in small claims court. The arbitration will be administered under the commercial arbitration rules in effect when it is commenced, and will take place in Nassau County, New York unless you and Empire Biosciences New York Inc. agree otherwise.
Class Action Waiver
You and Empire Biosciences New York Inc. agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, collective, or representative action, and the arbitrator has no authority to consolidate more than one person's claims.
Promotions and Discount Codes
Any discount code or promotional offer we publish is subject to these conditions unless the offer states otherwise: one code per order; a code applies to the order subtotal and never to shipping; codes are non-transferable and have no cash value; a code may carry an expiry date, a minimum order amount, or a limit on the number of times it can be used, and an order that does not meet those conditions is told so before it is placed; we may withdraw or amend an offer at any time without notice. Store credit issued through a referral is applied automatically and is subject to the same conditions.
Payment Security
Payments are processed by our payment provider over an encrypted (HTTPS) connection. We do not store payment card details on our systems.
